CHAPTER 7 | FRANCHISE BUSINESS LIQUIDATION | 2011
Served as debtor’s counsel for a restaurant franchisee in a voluntary Chapter 7 business liquidation (Case No. 11-30150, filed January 13, 2011) in the U.S. Bankruptcy Court for the Northern District of California. The firm used the Chapter 7 process to shut down business operations in an orderly, court-supervised manner, navigating the additional layer of complexity that a franchise relationship adds to a restaurant wind-down — including franchisor rights, trademark and brand-use restrictions, equipment and signage obligations, and the treatment of the franchise agreement itself within the bankruptcy estate. On February 25, 2011, the Chapter 7 Trustee filed the Trustee’s Report of No Distribution.
Result: Orderly Chapter 7 liquidation of franchise restaurant operations
